No Financial Advice: The services, including AI-powered insights and analytics, are provided for informational purposes only. They do not constitute financial, investment, tax, or legal advice, and should not be relied upon as such for making financial decisions.

Professional Consultation: You should consult with qualified financial, tax, or legal professionals regarding your specific circumstances before making any financial decisions.

No Guarantees: We make no representations or warranties regarding the accuracy, completeness, or suitability of any information, insights, or analytics provided through our services for any particular purpose.

AI Advisor

Aureli offers an AI-powered financial advisor feature that allows you to ask questions about your portfolio data. By using this feature, you acknowledge and agree to the following:

Third-Party Processing

Your conversation data, including your messages and relevant portfolio information, is transmitted to and processed by third-party artificial intelligence providers in order to generate responses. By using the AI advisor, you consent to the transfer of this data to such third-party providers. We may change the underlying AI provider at any time without notice.

Not Professional Advice

The AI advisor is provided strictly for general informational and educational purposes. Its outputs do not constitute financial, investment, tax, legal, or any other form of professional advice. You must not rely on AI-generated responses as a substitute for independent professional consultation. We make no representations or warranties as to the accuracy, reliability, completeness, or timeliness of any information provided by the AI advisor, and we accept no liability for any decisions made or actions taken based on its outputs.

No Guarantee of Availability

The AI advisor feature is provided as part of eligible subscription plans and may be modified, suspended, or discontinued at any time at our sole discretion. We do not guarantee that the AI advisor will be available, uninterrupted, or error-free.

Account Registration

To access certain features of our services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and agree to notify us immediately of any unauthorized access or use of your account.

Email Communications

By creating an account, you agree to receive service-related emails from us, including but not limited to:

• Account and security notifications (e.g., deletion confirmations, access changes)
• Portfolio update summaries and reports
• Invitation notifications when you are invited to collaborate on a portfolio
• Important service announcements and changes to these Terms

You may manage your preferences for portfolio email notifications (such as daily, weekly, or monthly summaries) through your account settings. Certain service-related communications, such as account security notices and legal updates, cannot be opted out of while your account remains active.

Subscription and Payment Terms

Service Tiers

Aureli offers multiple service tiers with different features and pricing:

• Lite (Free): Limited features as described on our pricing page
• Pro: Monthly or Annual subscription

Feature availability and limitations for each tier are described on our pricing page.

Billing and Payment

• Auto-Renewal: Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
• Payment Methods: We accept payments via credit card and other methods as displayed during checkout
• Price Changes: We may change subscription prices with at least 30 days' notice. Price changes will not affect your current billing period
• Failed Payments: If payment fails, we may suspend or downgrade your account until payment is received

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of the paid period.

Refunds

• 14-Day Cooling Off Period: Under UK Consumer Contracts Regulations, you have 14 days from the date of purchase to cancel and receive a full refund
• After 14 Days: Subscriptions are generally non-refundable, but we may offer refunds at our discretion on a case-by-case basis
• Annual Subscriptions: Pro-rata refunds may be offered at our discretion for annual subscriptions cancelled after the 14-day period

Downgrades and Termination

If you downgrade or cancel your subscription:

• You will retain access to paid features until the end of your billing period
• After downgrade, features exceeding your new tier limits may become read-only or inaccessible
• Your data will be retained in accordance with our Privacy Policy
• You may export your data at any time before or after cancellation

Use of Our Services

You agree to use our services in accordance with applicable laws and regulations. You will not use our services for any unlawful, harmful, or fraudulent activities. We reserve the right to suspend or terminate your access if you violate these Terms.

We collect usage data and analytics to operate and improve our services. For details on what data we collect and how it is used, please refer to our Privacy Policy.

Shared Portfolios and Collaboration

Aureli allows portfolio owners to invite other users to view or collaborate on their portfolios. By using this feature, you acknowledge and agree to the following:

Portfolio Owner Responsibilities

If you are a portfolio owner who invites other users:

• You are solely responsible for determining who has access to your portfolio and at what permission level (owner, editor, or viewer)
• You assume all risk associated with sharing your financial data with other users, including any consequences arising from their access to or use of that data
• You are responsible for promptly revoking access when it is no longer appropriate
• You warrant that you have the right to share any financial information contained in the portfolio with the users you invite

Invited User Responsibilities

If you are invited to access another user's portfolio:

• You must use the shared data only for its intended purpose and in accordance with these Terms
• You must not copy, distribute, disclose, or otherwise misuse any financial information belonging to the portfolio owner or other collaborators
• You acknowledge that the portfolio owner may revoke your access at any time without notice

Limitation of Liability for Shared Portfolios

Aureli acts solely as a platform for collaboration and is not responsible for:

• Any actions taken by users with whom you share your portfolio
• Any loss, damage, or liability arising from shared access to financial data, including unauthorized disclosure by invited users
• Disputes between portfolio owners and invited users
• Financial decisions made by any party based on shared portfolio data
• Errors, omissions, or modifications made by editors to shared portfolio data

We strongly recommend only sharing portfolio access with individuals you trust and regularly reviewing your portfolio access settings.

Termination of Shared Access

We reserve the right to revoke any user's access to a shared portfolio at our sole discretion if we believe the user has violated these Terms or is using the shared access in a manner that is harmful, fraudulent, or otherwise objectionable. Upon termination of a user's account, all shared portfolio access granted to or by that user will be revoked automatically.

Third-Party Integrations and Open Banking

Open Banking Services

Aureli integrates with third-party open banking providers to enable automatic synchronization of your financial account data. By connecting your bank accounts:

• You authorize us to access your account information through our third-party open banking provider
• You consent to the retrieval and processing of your financial data as described in our Privacy Policy
• You acknowledge that account connection depends on your bank's availability and the third-party provider's services

Third-Party Data Accuracy

While we strive to provide accurate information, we rely on third-party data sources for:

• Bank account balances and transactions (via open banking providers)
• Stock prices and market data
• Currency exchange rates

Limitations: We do not guarantee the accuracy, timeliness, or completeness of third-party data. You are responsible for verifying the accuracy of all financial information displayed in your account.

Connection Issues

We are not responsible for:

• Failures or delays in third-party services
• Banks blocking or limiting open banking access
• Inaccurate data provided by third-party sources
• Your bank's technical issues or downtime

You are responsible for maintaining valid credentials and authorizations with your financial institutions.

Data Accuracy and Your Responsibilities

Information Accuracy

You acknowledge and agree that:

• Asset Values: Property values, vehicle values, and other manually-entered asset values are estimates you provide and may not reflect actual market values
• Currency Conversions: Multi-currency conversions are based on indicative exchange rates and may differ from actual rates offered by financial institutions
• Stock Prices: Stock prices are provided for convenience and may be delayed or differ from real-time market prices
• Portfolio Values: Your net worth calculations are based on the data available and may not reflect your complete financial picture

Your Responsibility

You are solely responsible for:

• Ensuring the accuracy of manually-entered financial information
• Verifying that automatically-synced data is correct
• Making your own financial decisions based on comprehensive information
• Maintaining the security of your account credentials
• Complying with any tax reporting or disclosure obligations related to your financial holdings

We strongly recommend regularly reviewing your portfolio data for accuracy and maintaining independent financial records.

Prohibited Activities

You agree not to engage in the following activities:

1. Violating laws: Engaging in activities that violate local, state, or international laws.

2. Infringement of intellectual property: Using our services to infringe on the intellectual property rights of others.

3. Interfering with our services: Attempting to disrupt or interfere with the functioning of our website or services.

4. Harmful content: Uploading or transmitting malicious or harmful content that could damage or interfere with the services.

5. Automated access: Using bots, scrapers, or other automated means to access, collect data from, or interact with our services without our prior written consent.

6. Multiple accounts: Creating or maintaining multiple accounts to circumvent service limits, abuse free tiers, or evade enforcement actions.

7. Credential sharing: Sharing your account credentials with others or allowing third parties to access your account.

8. Reverse engineering: Decompiling, disassembling, reverse engineering, or otherwise attempting to derive the source code or underlying algorithms of our services.

9. Financial misrepresentation: Using the services to create, manipulate, or present misleading financial information to third parties.

Beta Services

Aureli is currently operating in beta. During this period:

• Service Stability: The services may contain bugs, errors, incomplete features, or experience interruptions
• Feature Changes: Features may be added, modified, or removed with or without notice as we improve the product
• No Warranties: We make no warranties regarding the availability, reliability, or performance of beta services
• Feedback: We welcome your feedback to help improve the service

Beta users who provide feedback and help us improve Aureli may receive special benefits or grandfathered pricing when we exit beta, at our sole discretion.

Termination

Termination by You

You may terminate your account at any time by:

• Cancelling your subscription through account settings
• Contacting us at hello@aureli.app
• Closing your account through account settings

Upon termination, you may export your data. Your data will be retained or deleted in accordance with our Privacy Policy.

Account Deletion and Grace Period

When you request deletion of your account, we may, at our sole discretion, apply a grace period before your account and associated data are permanently deleted. This grace period is intended to protect you from accidental or unauthorized deletion requests. During this period you may log in and cancel the deletion request to retain your account.

The current grace period is 14 days from the date of your deletion request. We reserve the right to modify the length of this grace period at any time without prior notice. Once the grace period has elapsed and your account is permanently deleted, we are under no obligation to recover or restore any of your data.

You acknowledge that we may retain certain data after account deletion as required by law, for legitimate business purposes (such as fraud prevention and dispute resolution), or as otherwise described in our Privacy Policy. We shall not be liable for any loss arising from the deletion of your account or data following the expiry of the grace period.

Termination by Us

We may suspend or terminate your access to the services if:

• You breach these Terms of Service
• You engage in fraudulent or illegal activities
• You abuse our services in ways that harm us or other users
• You fail to pay fees when due
• Required by law or regulatory authority

Notice: Where reasonably possible, we will provide notice before termination unless:

• We are required to terminate immediately by law
• Your conduct poses a security or legal risk
• You have seriously or repeatedly breached these Terms

Effect of Termination: Upon termination:

• All rights granted to you will immediately cease
• You must stop using the services
• Outstanding fees remain payable
• Provisions that by their nature should survive (including intellectual property, liability limitations, and dispute resolution) will continue to apply

Data Portability and Export

You have the right to export your financial data from Aureli at any time. You may:

• Download your portfolio data through account settings
• Request a complete export of your data by contacting hello@aureli.app

We will provide your data in a commonly-used, machine-readable format where technically feasible. Data exports are subject to our Privacy Policy and applicable data protection laws.

Limitation of Liability

Permitted Exclusions: To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or financial information
• Inaccurate financial calculations or valuations
• Decisions made based on information provided by our services
• Third-party service failures or data inaccuracies

Exceptions: Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any other liability that cannot be excluded or limited under applicable law, including under the Consumer Rights Act 2015

Maximum Liability: Where we are liable to you, our total liability for all claims arising out of or related to these Terms or your use of the services shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

Service Availability: While we aim to provide reliable service, we do not guarantee uninterrupted or error-free access. Scheduled maintenance will be announced in advance where reasonably possible.

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. This includes:

• Adding, removing, or changing features
• Modifying tier limits or feature availability
• Updating integrations or data sources
• Changing the user interface or experience

Material Changes: For material changes affecting paid subscribers, we will provide at least 30 days' notice where reasonably possible. If you do not agree with the changes, you may cancel your subscription.

No Liability: We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the services, except as required by applicable consumer protection laws.

User Content and Data Ownership

Your Data

You retain all rights to the financial information and data you input into Aureli (“Your Data”). By using our services, you grant us a limited, non-exclusive license to use Your Data solely for:

• Providing and improving our services to you
• Generating analytics and insights for you
• Creating aggregated, anonymized statistics (where individual users cannot be identified)
• Complying with legal obligations

Uploaded Content

You may upload images and other files to the services (for example, to associate with assets or debts). By uploading content, you represent and warrant that:

• You own or have the necessary rights to upload the content
• The content does not infringe on the intellectual property or privacy rights of any third party
• The content is not illegal, obscene, defamatory, or otherwise objectionable

Uploaded files are subject to size and format restrictions as displayed at the point of upload. We reserve the right to remove any uploaded content at our sole discretion, including content that we believe violates these Terms or is otherwise inappropriate, without prior notice. We are not obligated to store, maintain, or provide backups of uploaded content.

Our Content

All content, features, functionality, trademarks, logos, and intellectual property in our services remain our property or the property of our licensors. This includes:

• The Aureli software, algorithms, and codebase
• AI models and analytics systems
• Design, layout, and user interface
• Documentation and support materials

Indemnification

You agree to indemnify and hold harmless our company, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the services, violation of these Terms, or infringement of any third-party rights.

Dispute Resolution

Before initiating any legal proceedings, we encourage you to contact us at hello@aureli.app to resolve any disputes informally. We commit to working with you in good faith to reach a fair resolution.

If informal resolution is unsuccessful, disputes will be handled in accordance with the Governing Law section below.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Assignment

We may assign or transfer these Terms and our rights and obligations under them to a third party in connection with a merger, acquisition, sale of assets, or by operation of law. You may not assign or transfer these Terms without our prior written consent.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on our website, constitute the entire agreement between you and Aureli Tech Limited regarding the services.

Governing Law

These Terms of Service will be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in England and Wales.
